Contracts

Orinda, California, Contract Law Attorney

Contracts in one form or another regulate most business transactions. They often govern the formation, operation and dissolution of partnerships, corporations, limited liability companies and other business organizations. The proper negotiation, drafting and enforcement of contracts can make a significance difference in the success of your business, whether you are concerned about the ownership or operation of the business or its exposure to liability.

Ira James Harris has practiced contract law for over 27 years. For personal attention and answers to your contract law questions or for full legal representation, call the Law Office of Ira James Harris. We are a San Francisco and Orinda-area law firm, but accept cases from across California, including San Diego, Los Angeles and Sacramento. We are conveniently located in the Orinda Theatre complex in downtown Orinda, California. Contact us at 925-258-5100. Contracts we frequently draft include:

  • Real estate purchase and sale agreements
  • Business purchase and sale agreements
  • Residential and commercial construction contracts
  • Lease and equipment rental agreements
  • Distribution, subcontracting and consulting agreements
  • Financing and Security agreements

We also offer litigation services regarding such contracts. We can review and interpret your agreement, provide counsel regarding possible solutions, and work to resolve the issue through negotiation and mediation and, if necessary, through arbitration, judicial reference or a court or jury trial. Recent cases include:

  •  A client owned a number of shopping centers and housing units across the U.S. through a partnership with someone who died. The heirs of one of the deceased partners demanded an audit of the business. We represented the surviving partner to resolve ownership disputes with his former partner's family.
  • A client's equal shareholder sold his shares in their company, which in turn agreed to a deferred sale of said shares to an employee. This employee managed the books for the firm, issued the stock to themselves without paying for it as agreed, and embezzled significant funds from the company. We are seeking to rescind the stock purchase and recover the monies unlawfully taken from the company.
  • Our client held a partnership interest in a healthcare company. The managing partner altered the company's financial records to feather its own nest and to bolster its investor profile. We assisted our client to remove the managing partner and forced a sale of the managing partner's interest, securing a return of the embezzled funds without dissolving the partnership.
  • An engineering company owner enticed our client to accept employment with the company with offers of stock-ownership. The agreement had not been well documented. We secured a recovery of their interest in the company and a share of the profits.
